Job summary

Texas Capital Bank is expanding its legal department to manage complex entity onboarding and ongoing authority. The team handles governance over operating agreements, trust documents, and multi-layered real estate and private fund structures across multiple offices.

The role requires experience with entity formation, governing documents, and KYC onboarding. Strong analytic and coordination skills are essential in a fast-paced financial services environment.

Qualifications

• Paralegal with JD or equivalent experience in financial services.
• 3+ years of experience with entity formation, governing documents, and fund structures.
• Experience with bank operations, KYC onboarding; domain experience in real estate finance or private equity is a plus.

Responsibilities

• Read, analyze and confirm legal authority under governing documents.
• Construct and maintain legal structure charts for complex entities, including nested entities and fund structures.
• Build authority matrices and prepare standardized entity documentation for accounts opening, lending clients, and delegated authority/entitlements.
• Flag refresh triggers and coordinate with internal stakeholders across legal, compliance, treasury, operations, and credit.
• Raise exceptions and novel structures through appropriate approval channels.
