Job summary

Bruker Corporation is seeking a Commercial Counsel to support BBIO and CALID US sales. You will draft and negotiate a high volume of commercial agreements, advise on UCC Article 2 and 9 issues, and partner with Sales, Finance, and the deal desk to accelerate quote-to-cash.

In-house experience in a multinational tech environment is preferred. The role requires a JD from a US law school, MA license (or eligibility to qualify as in-house), and strong knowledge of CISG and cross-border sales.

Qualifications

• JD from a US law school and an active MA license or in-house eligibility.
• 5–8 years of relevant law firm and in-house experience supporting sales and commercial contracting.
• Strong knowledge of UCC Article 2 and Article 9, and CISG in cross-border sales.
• Experience with international transactions, Incoterms, and export controls.
• Ability to work independently and manage multiple projects with business partners.

Responsibilities

• Serve as primary Legal contact for US BBIO and CALID sales teams on commercial agreements.
• Draft, review, negotiate, and escalate a high volume of contracts (customer T&Cs, MSAs, S&Ls, NDAs).
• Advise on UCC 2- and 9-based issues, including warranties, risk of loss, and remedies.
• Structure secured transactions and review UCC-1 financing statements for financing activities.
• Collaborate with sales, finance, and deal desk on discounts and revenue recognition terms.
• Update standard templates and playbooks to reflect evolving legal standards.
• Support corporate compliance, data privacy, and export control touchpoints.
• Assist with M&A activities and cross-functional project work.
