Job summary

FormFactor, Inc. in Denver is seeking a Commercial Counsel to join the Legal team.

You will review, draft, and negotiate a broad range of commercial agreements that support global operations, collaborating with Sales, Procurement, Finance, IT, Engineering, and Operations to manage risk and enable business growth. The ideal candidate has 5+ years of related experience with a Bachelor’s degree and experience in semiconductor or technology industries, including licensing, export controls, and CLS

Qualifications

• 1–2 years of experience with a nationally recognized law firm (Am Law 50 or equivalent) in a commercial, corporate, or technology transactions practice.
• In-house legal experience supporting a technology, semiconductor, electronics, manufacturing, or industrial organization.
• Familiarity with semiconductor industry contracting, including equipment, materials, technology licensing, supply chain, procurement, and customer agreements.
• Experience supporting intellectual property licensing, technology transfer, software licensing, and commercialization matters.
• Knowledge of export controls, trade compliance, and international commercial contracting.
• Experience working with contract lifecycle management platforms, including Ironclad.

Responsibilities

• Draft, review, negotiate, and manage a broad range of commercial agreements, including Master supply agreements, Sales agreements, Purchase orders, SOWs, Vendor and supplier agreements, Equipment procurement contracts, Software and SaaS licenses, NDAs, and professional and consulting services agreements.
• Partner with Sales, Procurement, Supply Chain, Finance, IT, Engineering, and other business teams to provide practical legal guidance on contract terms, risk allocation, compliance requirements, and negotiation strategies.
• Identify legal, financial, operational, and commercial risks in proposed transactions and develop solutions that support business objectives while protecting company interests.
• Support negotiation and administration of commercial transactions, balancing legal considerations with operational and customer requirements.
• Maintain and improve contract templates, playbooks, standard terms, clause libraries, and contracting processes to drive efficiency and scalability.
• Support the administration and optimization of the contract lifecycle management system (e.g., Ironclad) and related workflows.
