Job Description

FormFactor is seeking a skilled Commercial Counsel to join our Legal team. In this role, you will support the review, drafting, negotiation, and management of a broad range of commercial agreements that enable business operations across our global organization. You will partner closely with stakeholders across Sales, Procurement, Supply Chain, Finance, IT, Engineering, and Operations to facilitate business transactions while helping the company effectively manage legal and commercial risk.

As a trusted legal advisor, you will provide practical, business-oriented guidance on routine and moderately complex contracting matters and collaborate with senior legal team members on strategic, high-risk, or non-standard transactions. The ideal candidate combines strong commercial contracting experience with sound legal judgment, excellent communication skills, and the ability to balance legal risk with business objectives in a fast-paced technology and manufacturing environment.

Key Responsibilities
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including Master supply agreements, Sales agreements, Purchase orders, Statements of work (SOWs), Vendor and supplier agreements, Equipment procurement contracts, Software and SaaS licenses, non-disclosure agreements (NDAs), and Professional and consulting services agreements.
  • Partner with Sales, Procurement, Supply Chain, Finance, IT, Engineering, and other business teams to provide practical legal guidance on contract terms, risk allocation, compliance requirements, and negotiation strategies.
  • Identify legal, financial, operational, and commercial risks in proposed transactions and develop solutions that support business objectives while protecting company interests.
  • Support the negotiation and administration of commercial transactions by balancing legal considerations with operational and customer requirements.
  • Maintain and continually improve contract templates, playbooks, standard terms and conditions, clause libraries, and contracting processes to drive efficiency, consistency, and scalability.
  • Support the administration and optimization of the company's contract lifecycle management system (e.g., Ironclad) and related workflows.
  • Escalate complex, high-risk, strategic, or non-standard legal issues to senior legal leadership and assist in developing resolution strategies.
  • Monitor and advise on legal and regulatory developments affecting commercial transactions within the semiconductor and advanced technology industries, including export controls, trade compliance, intellectual property licensing, and data protection considerations.
  • Collaborate with Finance, Compliance, Tax, Operations, and other internal stakeholders on contract-related matters and business initiatives.
  • Assist with legal projects, policy development, training, and process improvement initiatives that enhance the effectiveness of the Legal function.
Preferred Qualifications And Experiences
  • 1–2 years of experience with a nationally recognized law firm (Am Law 50 or equivalent) in a commercial, corporate, or technology transactions practice.
  • In-house legal experience supporting a technology, semiconductor, electronics, manufacturing, or industrial organization.
  • Familiarity with semiconductor industry contracting, including equipment, materials, technology licensing, supply chain, procurement, and customer agreements.
  • Experience supporting intellectual property licensing, technology transfer, software licensing, and commercialization matters.
  • Knowledge of export controls, trade compliance, and international commercial contracting.
  • Experience working with contract lifecycle management platforms, including Ironclad.
  • Demonstrated ability to drive process improvements and develop scalable contracting practices in a growing organization.

Pay Range

$132,400.00 - $173,775.00

Pay Range Explained

This role in Denver, Colorado pays between $132,400.00 and $173,775.00 per year, depending on your experience, skills, and background. Pay may vary in other locations. We offer a full benefits package, including medical, dental, vision, life insurance, disability coverage, a 401(k) with company match, employee stock purchase plan (ESPP), and paid time off. You’ll also be eligible for quarterly profit-sharing bonuses and flexible spending or savings accounts.
