Job summary

Axiom is seeking a Commercial Counsel to support a leading technology client's AI and connected applications team. This on-site role in Mountain View, CA (or NYC) involves drafting, reviewing, and negotiating complex technology agreements with third-party providers for AI-powered applications and digital products.

Qualifications

• 5+ years in commercial transactions, technology transactions, or related legal practice area.
• Demonstrated experience supporting technology product teams and negotiating complex software, platform integration, or technology partnerships.
• Working knowledge of APIs, SDKs, data flows, and software integrations.
• Strong understanding of GDPR and CCPA, particularly regarding data sharing, privacy, and security.
• Experience with intellectual property licensing, including software and content usage rights.
• Ability to work independently, manage competing priorities, and provide practical legal guidance with minimal oversight.
• Juris Doctor degree or equivalent and licensed to practice law in an applicable jurisdiction.

Responsibilities

• Draft, review, and negotiate complex commercial agreements with third-party technology and service providers integrating platforms into AI-powered applications and digital products.
• Provide legal guidance on technology integrations, including APIs, MCP, SDKs, and data flows.
• Advise on data privacy and security matters, including GDPR and CCPA compliance, particularly regarding data sharing between AI models and third-party partners.
• Support intellectual property licensing matters, including software licensing, content usage rights, and AI-related IP considerations.
• Collaborate with product, engineering, and business teams to structure and negotiate technology integration agreements.
• Independently manage a portfolio of commercial legal matters with minimal supervision.
• Deliver pragmatic, risk-adjusted legal advice in a fast-paced environment with evolving business and technical requirements.
