This remote independent contractor role offers $90 to $100 per hour. Candidates should have 5+ years drafting or reviewing commercial contracts in law firms or in-house, with experience in

Qualifications

• Minimum 5 years drafting, negotiating, or conducting diligence review of commercial contracts.
• Experience reviewing contracts in virtual data rooms during live M&A transactions.
• Deep familiarity with deal risk provisions (change of control, assignment, termination).
• Strong written and verbal communication skills, ability to explain risks clearly.
• JD and active bar membership, or equivalent legal qualification.
• Experience with SaaS or technology contracts and contract analytics tools preferred.

• Assess and annotate change of control, assignment, termination, exclusivity, MFN, indemnification, and renewal provisions.
• Distinguish material contractual risks from boilerplate and provide concise written rationale.
• Evaluate the severity of identified issues in context of realistic M&A transactions.
• Deliver structured, high quality written feedback to improve AI systems used by deal professionals.
• Apply practical legal judgment to commercial lease agreements and other relevant contract types as needed.

Key Responsibilities

• Review and analyze complex commercial agreements and realistic M&A diligence scenarios.
• Assess and annotate change of control, assignment, termination, exclusivity, MFN, indemnification, and renewal provisions.
• Distinguish material contractual risks from standard boilerplate and provide concise written rationale.
• Evaluate the severity of identified issues in the context of realistic M&A transactions.
• Deliver structured, high quality written feedback to improve AI systems used by transaction and deal professionals.
• Apply practical legal judgment to commercial lease agreements and other relevant contract types as needed.

Qualifications

• At least 5 years of experience drafting, negotiating, or conducting diligence review of commercial contracts in a law firm or in house setting.
• Extensive experience reviewing contracts in virtual data rooms during live M&A transactions, which is essential.
• Deep familiarity with deal risk provisions, including change of control, assignment, and termination mechanics.
• Experience conducting or managing diligence at a major law firm or in a managed review setting.
• Strong written and verbal communication skills, including the ability to explain complex legal risks clearly and precisely.
• JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
• Experience with SaaS or technology commercial agreements and contract analytics tools is preferred but not required.

Work Terms

Remote independent contractor engagement.

Compensation

$90 to $100 per hour.
