Qualifikationen

• 15+ years of corporate and transactional legal experience, including significant in-house experience at biotech, pharmaceutical, or life sciences companies.
• Deep experience with entity formation, multi-entity structures, asset transfers, and intercompany arrangements.
• Strong background in drafting and negotiating contracts including licensing, collaboration, CDMO/CMO, CRO, supply, and vendor agreements.
• Experience leading corporate governance, Board matters, and financing/strategic transactions, ideally with venture financings.

Aufgaben

• Serve as Osanni's principal legal advisor to the CEO, leadership team, and Board on corporate, transactional, and risk matters across Osanni and affiliates.
• Design and own the legal architecture of the hub-and-spoke model and form new affiliates with asset/data/know-how allocation.
• Build and maintain the intercompany framework, including services, cost sharing, and license agreements.
• Lead the legal execution of financings and strategic transactions across Osanni and affiliates, including equity financings and investor diligence.
• Lead corporate governance and board affairs, including board materials, minutes, resolutions, and cap tables.
• Own all contracts and agreements (licensing, collaboration, CDMO/CMO, CRO, supply, vendor) with templates and approval processes.
• Advise on clinical trial agreements, informed consent, data protection, and regulatory/cGMP matters.
• Partner with People & Culture on employment agreements, equity programs, and HR compliance.
• As sole in-house attorney, manage outside counsel budgets and relationships to scale with growth.
• Build a scalable compliance program across entities covering healthcare and data privacy regulations.
• Manage multiple priorities in a fast-paced environment and perform related duties.
