Qualifications

• Juris Doctor from an accredited U.S. law school; admission to at least one state bar required.
• 12+ years of experience in corporate governance, corporate law and securities regulation.
• Prior experience as corporate secretary or deputy preferred.

Responsibilities

• Serve as the senior executive responsible for the company’s corporate governance framework and board effectiveness.
• Advise the Board, CEO and leadership on governance strategy and regulatory matters.
• Oversee board operations, records, securities compliance, and governance disclosures.
