Qualifications

• 7–10 years of corporate governance paralegal experience, preferably with law firm and in‑house mix.
• Significant public company experience is essential.
• Strong communication and interpersonal skills; collaborative team player.

Responsibilities

• Assist with corporate governance matters including policies and governance website.
• Collaborate with Board of Directors on meeting prep, agendas, materials, and director orientation.
• Assist with Insider Trading Program compliance and stock trading clearances.
• Prepare SEC Section 16 insider trading filings.
• Draft SEC filings (Form 8‑K, and parts of Form 10‑K/10‑Q).
• Prepare AGM proxy statements and director/officer questionnaires.
