Job summary

Akerman LLP seeks an Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group. The ideal candidate will have experience preparing and reviewing Exchange Act filings and representing issuers and underwriters in equity and debt offerings.

You will advise public companies on disclosure obligations, governance, and SEC reporting from offices in Ft. Lauderdale, Miami, New York, or Washington, D.C.

Qualifications

• JD degree from ABA-accredited law school.
• Bar admission (or eligibility to obtain admission promptly) in the jurisdiction of resident office location.
• 3–4 years of securities and capital markets experience.

Responsibilities

• Prepare and review Exchange Act filings (e.g., Forms 10-K, 10-Q, 8-K, proxies).
• Represent issuers and underwriters in equity and debt offerings (public and private).
• Counsel public companies on governance, SEC reporting, and stock exchange compliance.
• Support public company transactions including mergers and acquisitions, tender offers, and strategic investments.
