Qualifications

• 3–4 years of securities and capital markets experience.
• Experience preparing and reviewing Exchange Act filings (10-K, 10-Q, 8-K, proxies, Section 16).
• Counseling public companies on disclosure obligations and governance.

Responsibilities

• Prepare and review Exchange Act filings and related documents.
• Represent issuers and underwriters in equity and debt offerings.
• Advise boards on governance and disclosure obligations for public companies.
• Support M&A, tender offers, strategic investments and complex corporate matters.
