Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Admission to the Florida or New York Bar, depending on office location.
• At least five years of corporate experience at an Am Law 100 firm representing private equity sponsors.

Responsibilities

• Structure and negotiate complex M&A and private equity transactions.
• Conduct due diligence and coordinate deal execution.
• Draft and negotiate purchase and investment agreements.
• Represent PE sponsors and portfolio companies across platforms, add-ons, dispositions, JVs, and minority investments.

Candidates should be adept at managing multiple aspects of complex transactions, including structuring, due diligence, drafting and negotiating purchase and investment agreements, and coordinating deal execution. Must possess strong negotiating and drafting skills, excellent analytical and writing abilities, and a practical, business-oriented approach to problem-solving. Candidates must have at least five years of corporate experience at an Am Law 100 firm representing private equity sponsors. This position can be based in the firm’s Fort Lauderdale, Miami, New York, or Orlando offices. Qualified applicants must have a Juris Doctor degree from an ABA-accredited law school and admission to the Florida or New York Bar (depending on office location), or a willingness to sit for the next available examination.
