Qualifications

• Strong drafting and analytical abilities with excellent communication skills.
• Ability to manage multiple transactions and ongoing compliance matters.
• Experience with securities and capital markets matters in a corporate setting.

Responsibilities

• Prepare and review Exchange Act filings (10-K, 10-Q, 8-K, proxy statements, Section 16).
• Represent issuers and underwriters in equity and debt offerings, including public and private deals.
• Advise boards of directors on governance and disclosure issues; respond to SEC comments.
• Support M&A activity, tender offers, joint ventures, and private equity investments.
• Counsel on governance, SEC reporting, stock exchange compliance and related matters.
