Job summary

Pathfinder is recruiting for Cravath-scale AmLaw 100-capital markets associates with 2–7 years of experience for its Miami, New York, or Washington, D.C. offices.

These roles involve sophisticated capital markets and public company advisory work representing issuers, underwriters, and placement agents in offerings and placements. Ideal candidates will have a JD from a top law school, strong academic credentials, and bar admission in FL, NY, or DC.

Qualifications

• 2 to 7 years of capital markets and public securities experience at an AmLaw 200 firm or elite boutique.
• Direct experience with public securities offerings, private placements, underwritten and agented offerings, public company reporting and compliance, corporate governance, Section 13 and Section 16 filings, or exchange listing and governance requirements.
• Working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• JD from a top law school with strong academic credentials
• Admitted in Florida, New York, or D.C. (depending on office), or eligible to waive in)

Responsibilities

• Represent issuers, underwriters, and placement agents across public securities offerings and private placements.
• Advise on reporting, compliance, and corporate governance for public companies.
• Counsel on day-to-day securities matters and governance requirements across transactions.
• Exposure to 1940 Act and 1933 Act fund products and related platforms.
