• Advise issuers, underwriters, and investors on equity/debt offerings (IPOs, secondary, PIPEs).
• Prepare and review SEC disclosures and proxy materials for compliance.
• Counsel on governance, listing requirements (NYSE/NASDAQ), and regulatory matters.
• Assist with deal execution, due diligence, and documentation.
