Job summary

Fujifilm Holdings America Corporation seeks a Counsel to provide practical, business-focused legal advice across CDMO and life-sciences operations. You will draft and negotiate diverse commercial agreements and collaborate with program teams to enable timely, compliant deals.

With 3–8 years’ experience and a JD, you will identify risks, maintain templates, and train stakeholders while coordinating globally with teams in the US and Europe.

Qualifications

• JD from an accredited law school; academic honors preferred.
• Bar admission in good standing in at least one US state; North Carolina preferred.
• 3–8 years of relevant experience in law firm or in-house legal department, preferably supporting CDMO/life-sciences.
• Strong commercial-contracting background with drafting and negotiating complex agreements.

Responsibilities

• Draft, review, and negotiate MSAs, SOWs, supply, development, manufacturing, services, licenses, and NDAs.
• Advise business teams on legal and contractual issues; support issue resolution and deal closure.
• Identify legal/regulatory risks and recommend practical mitigation strategies; escalate high-risk matters.
• Manage assigned caseload with independence; communicate status to stakeholders.
• Provide advice on IP provisions and related allocation issues in coordination with patent counsel.
• Prepare briefs and recommendations for business colleagues and management.
• Develop, maintain, and improve contracting templates, playbooks, and standards.
• Deliver legal training on contracting, precedents, and compliance topics.
• Support process improvements, CLM, document management, data insights, and responsible AI use.
