Job summary

Horgan Law Firm in Omaha, Nebraska seeks an attorney to help business owners build, buy, operate, and grow their companies, with direct client contact and meaningful responsibility in corporate transactions and ongoing business counsel.

The ideal candidate has a JD from an accredited law school and Nebraska bar admission (Iowa admission a plus), plus strong drafting and negotiation skills to support a boutique firm serving entrepreneurs and closely held businesses.

Qualifications

• Active Nebraska law license or eligibility; Iowa admission is a plus.
• Experience in transactional, corporate, or business law with strong contract drafting and negotiation skills.
• Ability to identify material issues, explain tradeoffs, and recommend practical solutions.
• Attention to detail and the judgment to take ownership of matters while knowing when to collaborate.
• Strong organization, follow-through, and the ability to manage multiple matters and deadlines.
• Professional, responsive approach to client service and an interest in building long‑term client relationships.

Responsibilities

• Draft, review, and negotiate commercial contracts and business agreements.
• Advise on entity formation, ownership structure, governance, operating agreements, and shareholder agreements.
• Handle mergers, acquisitions, and business sales, including LOIs, due diligence, purchase agreements, and closing documents.
• Serve as outside counsel to businesses on day-to-day legal questions, risk management, and strategic decisions.
• Manage matters and deadlines, coordinate with clients and other advisors, and communicate clearly throughout engagements.
• Develop client relationships and participate in business development.

Horgan Law is seeking an attorney to help business owners build, buy, operate, and grow their companies. This role offers direct client contact, meaningful responsibility, and the opportunity to work closely with firm leadership on corporate transactions and ongoing business counsel.

We are a boutique Omaha firm representing entrepreneurs, closely held businesses, and institutional clients. Our clients look to us for careful legal work, sound judgment, and practical advice that moves their business forward.

THE WORK

• Draft, review, and negotiate commercial contracts and other business agreements.
• Advise on entity formation, ownership structure, governance, operating agreements, and shareholder agreements.
• Handle mergers, acquisitions, and business sales, including letters of intent, due diligence, purchase agreements, and closing documents.
• Serve as outside counsel to businesses on day-to-day legal questions, risk management, and strategic decisions.
• Manage matters and transaction deadlines, coordinate with clients and other advisors, and communicate clearly throughout each engagement.
• Contribute to the firm’s growth by developing client relationships and participating in business development.

WHAT WE ARE LOOKING FOR

• A Juris Doctor from an accredited law school and an active Nebraska law license, or eligibility for prompt admission. Iowa admission is a plus.
• Experience in transactional, corporate, or business law, with strong contract drafting and negotiation skills.
