Base pay range

$300,000.00/yr - $330,000.00/yr

PilieroMazza PLLC, a mid-size law firm serving government contractors and commercial businesses, is seeking a Partner with 10+ years of corporate law experience to join its Business & Transactions practice group. A book of business is a plus but is not required.

The qualified candidate will have experience leading Mergers & Acquisitions transactions (including managing a team of in-house and outside counsel), drafting and negotiating purchase agreements, financing agreements, and other transaction documents, and coordinating due diligence and closings. This includes acting as counsel to buyers and sellers in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors as well as private equity and venture capital firms, and executive compensation and synthetic equity offerings. Experience with entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans (including synthetic equity), and commercial lending transactions is required. The successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail, and will work well as part of a collaborative team.

M&A and corporate experience with government contractors and licensing experience is a plus. Also a plus is tax and/or antitrust experience.

Applicants should be admitted to practice in or eligible for prompt admission into the District of Columbia. Maryland and/or Virginia admissions are encouraged. This is a full-time, hybrid position based in our Washington, DC or Annapolis, MD office. We will also consider candidates outside the DMV area, working a fully remote schedule.
