Job summary

PDI Technologies is seeking an Associate General Counsel to serve as a senior legal advisor supporting corporate and commercial matters. You will partner with business leaders and cross-functional teams to navigate complex issues, structure and negotiate agreements, assess risk, and back strategic initiatives.

Role Overview

As Associate General Counsel, you will serve as a senior legal advisor, providing practical, business-oriented counsel across a broad range of corporate and commercial matters. You will partner with business leaders and cross-functional teams to navigate complex legal issues, structure and negotiate agreements, assess risk, and support strategic business initiatives. This role requires strong legal judgment, the ability to independently manage complex matters, and a solutions-oriented approach that balances business objectives with appropriate legal protections.

Key Responsibilities

• Provide strategic legal counsel to business leaders and cross-functional teams on complex corporate, commercial, and operational matters.
• Draft, review, and negotiate a broad range of agreements, including technology, vendor, partnership, licensing, services, and other business agreements.
• Advise on legal and commercial risks related to contractual terms, intellectual property, data privacy, information security, liability, indemnification, warranties, and other key provisions.
• Provide legal guidance on new business initiatives, products, partnerships, and other strategic projects.
• Partner internally to address legal considerations and support business objectives.
• Independently manage complex legal matters from initial assessment through resolution, identifying appropriate escalation points as needed.
• Provide guidance on contract interpretation, disputes, business obligations, and risk mitigation.
• Contribute to the development of contract templates, playbooks, policies, and legal processes that support consistent and efficient legal practices.
• Identify emerging legal and regulatory risks and provide practical recommendations to business stakeholders.
• Support corporate transactions, organizational initiatives, and other strategic projects as needed.
• Manage relationships with outside counsel and other external legal resources with appropriate attention to quality, responsiveness, efficiency, and cost.
• Stay current on relevant laws, regulations, and industry developments and assess their potential impact on the business.

Qualifications

• Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 6+ years of progressive legal experience, including experience in a law firm and/or corporate legal department.
• Experience supporting technology, software, SaaS, or similarly complex businesses preferred.
• Significant experience drafting, reviewing, and negotiating complex commercial agreements.
• Strong understanding of commercial contracting, intellectual property, privacy, security, and other legal issues relevant to technology businesses.
• Demonstrated ability to independently manage complex legal matters and provide practical, risk-based legal advice.
• Strong business acumen with the ability to understand business objectives and translate legal considerations into actionable guidance.
• Collaborative approach and demonstrated ability to develop effective working relationships with senior leaders, sales teams, product and technology teams, and other stakeholders .
• Strong written and oral communication, negotiation, analytical, and interpersonal skills.
• Excellent judgment with the ability to identify significant legal risks and appropriately escalate matters.
• Ability to manage multiple priorities and complex matters in a fast-paced environment.
