Job summary

Social Capital Resources, located in Midtown Manhattan, is seeking an Associate Counsel for a full-time position. This role involves providing legal support on debt investments and working closely with investment professionals to manage legal risks effectively.

The ideal candidate should have a JD from an accredited law school, at least 5 years of experience in a law firm or corporate legal department, and strong knowledge of finance and credit. Experience in private equity and document negotiation is preferred.

Qualifications

• 5+ years’ experience in a law firm or corporate legal department environment on the finance side.
• Strong background in finance, credit, private funds, structured finance, or related areas.
• Experience with credit asset management, private credit, or special situations investing preferred.

Responsibilities:

• Provide legal support and guidance on debt investments across the capital structure.
• Work closely with investment professionals to assess legal risk and develop practical solutions.
• Advise on legal and transactional aspects of the firm’s credit investments, financing arrangements, fund structures, and related initiatives.
• Review, draft and negotiate documents including credit agreements, confidentiality agreements, side letters, financing documents and investment-related contracts.
• Coordinate with outside counsel on fund formation, financing, regulatory and transactional matters.

Qualifications:

• JD from an accredited law school and member of a state bar
• 5+ years’ experience in a law firm or corporate legal department environment on the finance side
• Strong background in finance, credit, private funds, structured finance, or related areas
• Experience with credit asset management, private credit, or special situations investing preferred
• Strong understanding of legal and regulatory framework applicable to investment advisors and private funds
