Private Equity Firm in Midtown, Manhattan is seeking Restructuring Attorney!

Responsibilities:

• Provide legal support for all aspects of company
• Counsel colleagues on structure of debt components of bespoke transactions.
• Review, draft and negotiate transactional documentation with respect to, and provide legal and structuring advice concerning investments and loans, including the formation and structuring of investments, loan documents, term sheets, non-disclosure agreements, engagement letters and other related documentation.
• Provide legal support and guidance in connection with all asset management matters, including loan workouts, restructurings, forbearances, foreclosures and portfolio related litigation matters.

Qualifications:

• JD from an accredited law school and member of a state bar
• 5+ years’ experience in a law firm or corporate legal department environment on the investment side
• Excellent attention to detail
• Excellent drafting and written communication skills
• Experience with credit documentation, restructurings, and Chapter 11 processes
• Familiarity with distressed or special situations investing, capital structures, and financial instruments
• Strong verbal communication skills with the ability to translate legal complexity into clear, actionable advice
