Job summary

Unisys is seeking a seasoned in-house counsel to support multiple business units, providing strategic legal guidance on corporate and technology matters. You will collaborate with Finance, Sales, Engineering and Marketing to ensure compliance, manage IP considerations, and assist with privacy obligations.

The role involves partnering with senior lawyers on complex contracts and governance initiatives across the organization.

Qualifications

• BA/BS degree US Law Degree and 5-7 years’ relevant experience OR equivalent combination of education and experience.
• Public Sector experience required
• Technology Industry experience preferred

Responsibilities

• Serve as counsel for an assigned departmental or functional area, or within a defined area of law.
• Provide legal advice to management and associates on corporate and business issues under guidance from senior lawyers.
• Collaborate with Finance, Sales, Operations, Engineering, Marketing and others to ensure product offerings and agreements are compliant and protective of Unisys interests.
• Advise internal teams to address privacy issues and ensure compliance with privacy regulations; assist in IP disputes and litigation with outside counsel.

What success looks like in this role:

• Serves as counsel for an assigned departmental or functional area, or within a defined area of law.
• With guidance from senior lawyers, provides legal advice and counsel to management and associates on a range of corporate and business issues.
• With guidance from senior lawyers, engages with business leaders to understand direction, changes and objectives; provides advice on potential legal issues or challenges.
• Enforces Legal policies and procedures.
• With guidance or in partnership with senior lawyers, presents training to internal clients on specified legal topics.
• Collaborates with supported Finance & Accounting, Sales & Sales Excellence, Corporate Operations, Engineering / Product Development, Marketing & Communications and/or others, to ensure that product offerings, business dealings and agreements are legally compliant and protective of the company’s interests. May provide service and advice within or across areas described below.
• Works with supported stakeholders, helping ensure their understanding of and support for internal checks, controls and related governance standards.
• Supports all governance functions and creation of public filings.
• Supports entity management and maintenance.
• Monitors legislative and agency pronouncements, publications and activities.
• Assists in researching, tracking and updating privacy and data regulation related notices, policies, standards, guidelines and processes.
• Works with internal teams to understand business objectives and address potential privacy issues and considerations.
• Advises internal teams to ensure compliance with privacy regulations.
• Assists with development of public policy-related position papers, presentations and other documentation.
• Participates in new product development process reviews to ascertain compliance with IP policies and methodologies, and to develop IP for the organization.
• Participates in patent searches and evaluations in support of new product development.
• Supports efforts to evaluate potential third-party infringement of Unisys IP.
• Supports senior lawyers in IP disputes and litigation.
• Participates in trademark searches in support of new marks/rebranding.
• Engages with HR teams and management to understand and help address a variety of employment and labor issues, including recruiting, hiring, associate relations, equal employment opportunity compliance and issues associated with contingent workers.
• Supports broader organizational policy development, evaluation and related initiatives from an employment law / legal perspective.
• Supports efforts to address disputes within designated area of responsibility, working with outside counsel and internal teams.
• Supports internal investigations and manages administrative matters associated with litigation.
• Participates in / support subpoena response.
• Maintains accurate reporting of all in-house litigation, disputes, subpoenas and bankruptcy including upcoming deadlines, matter statuses, opening and closing and each matter submitted to outside counsel, defense matters, and judgements sent to collection.
• Supports eDiscovery functions for cases.
• Helps draft, negotiate and interpret commercial contracts.
• In partnership with more senior counsel, reviews, advises on and negotiates a variety of commercial contracts, including contracts covering software licensing, SaaS, professional services and online terms and conditions.
• Partners with internal business associates to develop and execute action plans to resolve issues presented in contract negotiations.
• Provides advice on operational legal topics, including data strategy and data licensing.

You will be successful in this role if you have:

• BA/BS degree US Law Degree and 5-7 years’ relevant experience OR equivalent combination of education and experience
• Public Sector experience required
• Technology Industry experience preferred
