Job summary

Irving Knight Group seeks an Assistant General Counsel, Corporate to lead compliance and governance for a building products manufacturer in the Atlanta area. You will support SEC filings, financial reporting, and board materials, partnering with executives to advance strategic initiatives.

The role requires substantial experience in external/big-law environments, strong knowledge of U.S. securities laws, and a JD from an ABA-accredited school.

Qualifications

• Experience in external/big law settings and capital markets.
• Knowledge of U.S. securities laws, SEC reporting, and proxy statements.
• Strong business judgment and ability to work with executives.

Responsibilities

• Assist with SEC filings, corporate governance, financing transactions, and strategic initiatives.
• Prepare board and committee materials, resolutions, minutes, and governance documentation.
• Support domestic and international subsidiary governance and entity maintenance.
• Coordinate with internal and external counsel on compliance matters.
• Assist with mergers, acquisitions, due diligence, and related transaction documentation.
