Job summary

UL LLC seeks a Deputy General Counsel & Assistant Corporate Secretary to partner with senior leaders, the Board, and stakeholders. You will oversee securities law compliance, governance, and strategic transactions with a hands-on, business-focused approach.

You will advise on SEC reporting, corporate governance, and complex transactions, collaborating across finance, investor relations, and operations to support growth and risk management.

Qualifications

• JD from a top-tier law school and active bar admission in at least one U.S. jurisdiction are required.
• Approximately 12+ years of relevant legal experience advising public companies on securities law, governance, and transactions.
• Strong background in SEC reporting, corporate governance, and complex transactional work.

Responsibilities

• Serve as primary legal advisor on public company reporting and disclosure obligations, securities law compliance, and governance matters.
• Lead preparation and review of SEC filings (10-K, 10-Q, 8-K, proxy statements) and investor communications.
• Assist in maintaining and enhancing the company’s governance framework, policies, and procedures.
• Lead and support M&A, divestitures, JV, and other strategic transactions from evaluation through closing and integration.
• Advise executive leadership and internal stakeholders on disclosure implications, governance considerations, and legal risks.
• Coordinate with Finance, Investor Relations, Tax, and HR on disclosures and governance initiatives.
