Job summary

Province is an internationally recognized advisory firm seeking a Corporate Counsel to support a broad range of legal, regulatory, and risk matters in a fast-paced professional services environment. This role assists the General Counsel with practical, business-oriented guidance focusing on contracting and corporate governance.

The position is based on-site in New York City, Boston, or Henderson, NV, five days per week, with a strong emphasis on leveraging technology and AI tools such as

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with at least one U.S. State Bar.
• 4–6 years of relevant legal experience in a law firm and/or in-house role.
• Demonstrated experience with contract drafting, review, and negotiation.
• Experience supporting corporate governance activities, including entity management and internal governance matters.
• Exposure to restructuring, insolvency, fiduciary, or court-mandated matters preferred.
• Experience at AmLaw 100/200 firm or in-house at a professional services firm preferred.
• Strong proficiency with Microsoft 365 and familiarity with AI tools.

Responsibilities

• Aid the General Counsel in advising business leaders on corporate, operational, and regulatory matters and negotiate a wide range of contracts and agreements.
• Support corporate governance activities, including entity management and board matters.
• Provide legal support on issues including employment, taxes, permits, and regulatory matters.
• Assist with mergers, acquisitions, and post‑acquisition integration activities.
• Support investigations, e-discovery, and governance related to Microsoft Purview.
• Prepare concise written analyses for executive audiences.
