We are seeking a highly skilled Client Accounting Manager with strong expertise in SEC reporting, financial reporting, and technical accounting to oversee accounting engagements for publicly traded and SEC-registered clients. This individual will serve as a trusted advisor to clients, managing month-end close processes, financial statement preparation, SEC filings, and compliance with U.S. GAAP and SEC regulations.
The ideal candidate will possess extensive experience preparing and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, S-1, S-3, DEF 14A, and Form 4, while leading client engagements and mentoring accounting staff.
Key Responsibilities
- Manage multiple client accounting engagements for public and SEC-reporting companies.
- Oversee monthly, quarterly, and annual close processes.
- Review journal entries, account reconciliations, and financial statement packages.
- Serve as the primary accounting contact for client management teams, boards, auditors, and legal counsel.
- Provide accounting guidance on complex transactions and technical accounting matters.
SEC Reporting & Compliance
- Prepare and review SEC filings including:
- Form 10-Q
- S-1 Registration Statements
- S-3 Registration Statements
- Proxy Statements (DEF 14A)
- Section 16 Filings (Forms 3, 4, and 5)
- Draft MD&A, footnote disclosures, and other SEC-required financial disclosures.
- Ensure compliance with SEC regulations, Regulation S-X, Regulation S-K, and applicable disclosure requirements.
- Coordinate XBRL filing requirements with external filing agents.
- Assist clients with IPO readiness, public company reporting requirements, and capital market transactions.
Technical Accounting
- Research and document accounting positions under U.S. GAAP.
- Assist clients with implementation and analysis of new accounting standards.
- Prepare or review technical accounting memoranda related to:Revenue Recognition (ASC 606)
- Leases (ASC 842)
- Fair Value Measurements (ASC 820)
- Business Combinations (ASC 805)
- Stock Compensation (ASC 718)
- Consolidations and Variable Interest Entities
- Support external audits and SEC comment letter responses.
Leadership & Team Management
- Manage, mentor, and develop accounting professionals.
- Review work performed by senior accountants and staff accountants.
- Improve accounting processes and internal controls.
- Assist with client onboarding and expansion of service offerings.
Qualifications
Required
- Bachelor's degree in Accounting or Finance.
- CPA license preferred.
- 5+ years of accounting experience, including significant SEC reporting exposure.
- Strong understanding of:U.S. GAAP
- SEC regulations
- Regulation S-X
- Internal controls and SOX compliance
- Experience preparing or reviewing Forms 10-K, 10-Q, and 8-K.
- Advanced Excel skills.
- Experience working with publicly traded companies.
Preferred
- Public accounting experience (Big 4 or regional CPA firm).
- Experience supporting IPOs, SPAC transactions, or public company readiness projects.
- Experience with Workiva, ActiveDisclosure, NetSuite, Oracle, SAP, or similar reporting platforms.
- Supervisory or client management experience.
