Job summary

Artmin Madencilik A.Ş. seeks an experienced Legal Counsel to lead corporate, contract and litigation matters within its mining operations in Turkey.

You will manage corporate law duties, draft and negotiate a broad range of contracts, monitor regulatory compliance, and advise management on legal risks. The ideal candidate holds an LL.B (Master’s preferred) with 10+ years in corporate law, contracts, and mining or related sectors, and fluent English with strong drafting and negotiation skills.

Qualifications

• LL.B. required; Master’s degree an asset.
• 10+ years of experience, preferably at a multinational company and/or a reputable law firm.
• Strong experience in Corporate Law and commercial contracts.
• Experience in mining, energy, construction or industrial sectors is an asset.
• Excellent written and spoken English, with strong drafting and negotiation skills (mandatory).
• Strong analytical, communication and follow-up skills.
• No restriction on domestic or international travel, including visits to mine sites.

Responsibilities

• Manage all corporate law matters under the Turkish Commercial Code, including board resolutions, general assemblies, trade registry processes, share transfers and powers of attorney.
• Draft, review, negotiate and manage a broad range of commercial contracts in Turkish and English, including EPC, construction, procurement, supply, service, consultancy, logistics, equipment lease and mining contractor agreements; advise business teams on contract execution, change orders, claims, notices, risk allocation, dispute avoidance and other day-to-day legal and commercial matters arising from mining operations
• Manage the full contract lifecycle and maintain standard templates and contract tracking
• Assess contractual risks and advise business units on claims, notices and disputes
• Monitor and ensure compliance with Mining Law (No. 3213) and related legislation, including exploration and operating licenses, permits, royalties and reporting obligations to MAPEG and other authorities
• Advise on environmental permits, EIA processes, land access rights, expropriation matters and regulatory approvals related to mining operations
• Manage and follow up litigation and enforcement proceedings, in coordination with external counsel
• Provide day-to-day legal advice to management and prepare legal opinions and reports
• Provide legal support in Commercial Law, Corporate Law, Labor Law and Occupational Health & Safety
• Manage relationships with external law firms, including budget and performance oversight
