Galata Wind is seeking a highly motivated and dynamic “Attorney at Law (Junior)” to support our Head of Legal in managing strategic corporate, commercial, regulatory, and capital markets law processes in generating clean energy for a clean future. This role requires a strong background in drafting commercial contracts, ensuring corporate governance, and demonstrating knowledge of energy law, regulatory compliance, and capital markets regulations.
Your Responsibilities
- Corporate Compliance: Act as a legal a promoting corporate legal compliance values and supporting the development and implementation of corporate policies and practices internally and externally.
- Energy Legislation: Provide comprehensive legal advice on energy legislation, including EMRA (EPDK) regulations, energy market mechanisms, and renewable energy incentives (e.g., YEKDEM).
- Contract Management: Draft, review, and negotiate commercial contracts, including EPC (Engineering, Procurement, and Construction) and O&M (Operation and Maintenance) agreements for renewable energy projects.
- Capital Markets: Provide strategic legal support for capital markets legislation, ensuring full compliance with regulatory requirements, Borsa Istanbul (BIST) rules, and public disclosure obligations.
- Project Development: Manage and monitor legal procedures regarding project development, including licensing, permit acquisitions, grid connection agreements, and land-use rights (expropriation, easement, and leasing).
- Corporate Governance: Coordinate and structure corporate governance processes, including preparing board resolutions, general assembly documents, and managing internal corporate secretarial tasks.
- Due Diligence: Conduct thorough legal due diligence studies for renewable energy asset transactions, joint ventures, and new project acquisitions.
- Regulatory Liaison: Liaise with regulatory authorities (such as EMRA, CMB, and Ministry of Energy), public institutions, and external stakeholders on behalf of the company regarding legal matters.
- Risk Mitigation: Stay updated on regulatory changes, global legal trends, energy policies, sustainability regulations, and evolving corporate legislation to mitigate legal risks.
- Cross-functional Collaboration: Work closely with cross-functional teams (such as Project Development, Finance, and Operations) to integrate legal compliance and social responsibility standards into business processes.
- Litigation: Managing and monitoring litigation and enforcement files in the company/office portfolio. Participating in mediation and conciliation negotiations.
Your Qualifications & Experience
- Education: Holding an LL.B. degree from a reputable law school (an LL.M. degree is a plus).
- Experience: Minimum 2-3 years of post-qualification legal experience, preferably within a top-tier law firm or a regulated corporate setting.
- Legal Expertise: Expertise in Turkish Energy Law, EMRA (EPDK) regulations, corporate law, commercial transactions, and capital markets regulations.
- Sector Knowledge: Hands-on experience with energy sector contracts (EPC, O&M) and regulatory permitting processes is highly desirable.
- Credentials: Active membership in a local Bar Association.
- Languages: Native or bilingual proficiency in written and spoken English, with exceptional legal drafting and translation skills. German is a plus.
- Risk Assessment: Proven ability to analyze, evaluate, and prepare legal risk assessments and compliance reports under tight deadlines.
- Soft Skills: Strong negotiation and communication skills with the ability to manage relationships with international and local stakeholders.
- Ethical Values: A strong sense of ethical responsibility, community awareness, and commitment to environmental sustainability.
- Project Management: Strong project management skills with the ability to manage multiple legal files simultaneously in a fast-paced environment.
- Mobility: No restrictions on travel within Turkey and internationally.
- Location: Residing in Istanbul.
