Job summary

Gizli Şirket seeks an accomplished Legal Manager to provide strategic leadership across its expanding renewable energy portfolio. The role supports development, construction, financing, acquisitions, and operations while ensuring compliance and effective risk management.

You will draft and manage complex commercial agreements, advise on regulatory matters, structure project finance, and oversee cross-border transactions.

Qualifications

• LL.B. from a reputable university; LL.M. is preferred.
• Minimum 15 years of professional legal experience, with substantial renewable energy exposure.
• Proven track record drafting, reviewing, and negotiating complex commercial contracts in English.
• Strong understanding of energy regulations, licensing, project finance, construction contracts, and corporate transactions.
• Experience supporting renewable energy investments, acquisitions, joint ventures, and financing transactions.
• Excellent English communication, including legal drafting and negotiation.
• Ability to balance legal risk management with business objectives in a fast-paced environment.
• Based in Istanbul or willing to relocate.

Responsibilities

• Draft, review, negotiate, and manage a broad range of complex commercial agreements (PPAs, JVAs, EPC, O&M, SPAs, etc.).
• Provide proactive legal support throughout development, permitting, financing, acquisition, and operation phases of projects.
• Advise senior management on regulatory, licensing, environmental, and compliance matters.
• Structure and support project finance transactions, partnerships, and cross-border investments.
• Lead and coordinate sophisticated contract negotiations with investors, lenders, EPCs, equipment suppliers, developers, off-takers, and others.
• Assess legal and commercial risks and implement mitigation strategies.
• Monitor legislative and regulatory developments and provide practical guidance.
• Manage relationships with external counsel across multiple jurisdictions.
• Collaborate with executive teams to enable informed business decisions and project execution.

Job description

We are seeking an accomplished and commercially driven Legal Manager to provide strategic legal leadership across our expanding renewable energy portfolio. The successful candidate will play a pivotal role in supporting project development, construction, financing, acquisitions, and operational activities while ensuring legal compliance and effective risk management throughout the project lifecycle.

Key Responsibilities

• Draft, review, negotiate, and manage a broad range of complex commercial agreements, including Power Purchase Agreements (PPAs), Joint Venture Agreements (JVAs), EPC Contracts, O&M Agreements, Equipment Supply Agreements, Share Purchase Agreements (SPAs), and other project-related documentation.
• Provide proactive legal support throughout the development, permitting, construction, financing, acquisition, and operation phases of renewable energy projects.
• Advise senior management and business units on regulatory, licensing, environmental, and compliance matters impacting renewable energy investments.
• Structure and support project finance transactions, strategic partnerships, joint ventures, and cross-border investments.
• Lead and coordinate sophisticated contract negotiations with investors, lenders, EPC contractors, equipment suppliers, developers, off-takers, and other key stakeholders.
• Assess legal and commercial risks associated with project development and transactions and implement effective mitigation strategies.
• Monitor and analyze legislative and regulatory developments in the energy sector and provide practical guidance on their business implications.
• Manage relationships with external legal counsel and coordinate legal matters across multiple jurisdictions where required.
• Partner closely with executive management, project development, finance, procurement, and engineering teams to facilitate informed business decisions and successful project execution.

Candidate Profile

• Bachelor of Laws (LL.B.) degree from a reputable university; LL.M. qualification is preferred.
• Minimum 15 years of professional legal experience, including substantial exposure to renewable energy, infrastructure, power generation, or large-scale project development.
• Proven track record in drafting, reviewing, and negotiating complex commercial contracts in English, with extensive experience in legal English contract drafting and high-value contract negotiations.
• Strong understanding of energy regulations, licensing frameworks, project finance structures, construction contracts, and corporate transactions.
• Experience supporting renewable energy investments, project acquisitions, joint ventures, and financing transactions will be highly regarded.
• Excellent command of written and spoken English, including legal drafting and negotiation skills.
• Strong commercial acumen, analytical capability, and solution-oriented mindset.
• Ability to balance legal risk management with business objectives in a fast-paced and dynamic environment.
• Based in Istanbul or willing to relocate.
