Job summary

ScienTec Consulting Pte. Ltd. is seeking a motivated Legal Counsel to join an experienced team of legal professionals, providing value-added legal, corporate and policy advice.

You will work closely with management and key stakeholders, including researchers, policymakers and technology transfer professionals. You will also engage with external collaborators such as public sector agencies, hospitals, IHLs, MNCs, LLEs and SMEs.

Qualifications

• LLB (Honours) degree and admission to practice as Advocate and Solicitor in Singapore.
• 3–5 years of post-qualification experience in corporate and commercial law.
• Experience in contract drafting and negotiations.
• IP/technology licensing experience is a plus but not mandatory.
• Exposure to M&A, financing, shareholder matters, joint ventures and listings is advantageous.

Responsibilities

• Provide legal, corporate and policy advice to support business and operations.
• Draft, review and negotiate commercial agreements including collaborative research, licensing and M&A.
• Advise on complex commercial transactions and manage legal risks and liabilities.

Job description

We are seeking a motivated and commercially minded Legal Counsel to join an experienced team of legal professionals, providing value-added legal, corporate and policy advice.

In this role, you will work closely with management and key stakeholders, including researchers, policymakers and technology transfer professionals. You will also engage with external collaborators such as public sector agencies, hospitals, Institutes of Higher Learning (IHLs), multinational corporations (MNCs), large local enterprises (LLEs) and small and medium-sized enterprises (SMEs).

As an integral business partner, you will provide legal and commercial advice, facilitate business transactions and ensure that legal risks and liabilities are appropriately managed. You will have opportunities to work on a diverse range of complex matters involving research collaborations, technology commercialisation, licensing and corporate transactions.

• Provide legal, corporate and policy advice to support business and operational activities.
• Draft, review and negotiate a wide range of commercial agreements, including collaborative research agreements, technology commercialisation and licensing agreements, joint ventures, mergers and acquisitions (M&A), investment transactions, funding and grant arrangements.
• Advise on and structure complex commercial transactions, ensuring appropriate management of legal risks and liabilities.
• Work closely with internal stakeholders, researchers, technology transfer professionals and external collaborators to facilitate negotiations and successful deal closures.
• Support the development and implementation of policies, including collaborating with public sector agencies and institutions on emerging legislation and regulatory matters.
• Work across agencies and institutions to provide practical legal solutions and support strategic business initiatives.
• Lead projects and taskforces, working collaboratively with internal and external stakeholders to achieve organisational objectives.

What we are looking for:

• A Bachelor of Laws (LLB) (Honours) degree and admission as an Advocate and Solicitor of the Supreme Court of Singapore.
• Approximately 3–5 years of post-qualification experience (PQE) in corporate and commercial law, including contract drafting and negotiations, gained in private practice or an in-house legal environment.
• Knowledge or experience in intellectual property (IP) law and technology licensing will be an advantage, but is not mandatory.
• Exposure to M&A transactions, including financing and shareholder matters, joint ventures, disposals, restructuring, reorganisation and multi-jurisdictional listing rules will be advantageous.
• Ability to work independently while being an effective team player.
• Strong project management skills, with the ability to lead projects and taskforces.
• Creative and innovative problem-solving abilities, with strong analytical, communication and interpersonal skills.
• Admission to practise in other jurisdictions will be an added advantage, but is not a requirement.
