Job summary

SIA Engineering Company is seeking an experienced in-house corporate and commercial lawyer to draft, review and negotiate complex customer and vendor contracts and licensing agreements worldwide.

You will identify contractual risks, provide strategic recommendations, advise on litigation strategy, coordinate with external law firms and support corporate governance while maintaining strong stakeholder relationships.

Qualifications

• PQE 7–9 years post-qualification experience.
• Singapore- or reputable international English-speaking university with a Singapore bar or equivalent.
• Strong corporate/commercial law, contract drafting and negotiation expertise.

Responsibilities

• Draft, review and negotiate commercial and operational contracts, including complex agreements with customers and vendors, NDAs, service and licensing agreements.
• Identify legal and contractual risks and provide strategic, clear recommendations to the business.
• Advise on litigation matters, draft statements of claim, affidavits and liaise with external law firms.
• Coordinate with external/foreign lawyers and internal team members; support insurance-related matters.
• Assist with corporate governance and corporate secretarial matters; monitor relevant legal developments and provide proactive advice.

Key Responsibilities

• Draft, review, negotiate commercial and operational contracts, including but not limited to complex agreements with customers and vendors, cooperation agreements, procurement agreements, non-disclosure agreements, service agreements, HR/employment contracts, insurance-related covenants and documentation, and IP-related /licensing agreements.
• Identify legal and contractual risks and provide strategic, clear and practical recommendations and solutions to the business.
• Advise on and manage litigation matters, including advising on litigation strategy, drafting relevant statements of claim, affidavits and other relevant documentation, instruct and collaborate with external law firms.
• Manage and coordinate with external/foreign lawyers and internal legal team members when necessary. Support, coordinate and manage insurance related matters.
• Support corporate governance and corporate secretarial matters.
• Keep abreast of relevant legal developments and provide proactive advice to the business.

Requirements

• PQE: At least 7-9 years’ Post-Qualification Experience (PQE).
• Qualifications: Bachelor of Law (LLB) (Hons) with a Singapore or reputable international English-speaking university. Be called to the Singapore bar or other common law jurisdiction. Experience in a comparable in-house legal environment would be an added advantage.
• Experience: Solid experience in corporate and commercial law. Proven expertise and experience in commercial contract drafting and negotiation. Experience in advising on global trade (export controls/sanctions), data privacy, employment, competition and anti-bribery and corruption matters is an added advantage.
• Reporting to: Head of Department.
• Coverage: Worldwide.

• Able to exercise professional judgment, strong accountability and decision-making skills.
• Ability to work independently with minimal supervision while being a collaborative team player.
• Strong communication and interpersonal skills, able to communicate effectively with internal and external stakeholders, including Management-level stakeholders.
