Job summary

Alfanar seeks a seasoned Legal Counsel – EPC & Project Development to provide comprehensive legal support across its renewable energy, power, water and infrastructure ventures in Saudi Arabia and international markets.

You will guide tendering, contract reviews, risk allocations, project development, financing documentation and dispute resolution throughout the project lifecycle. The role requires strong negotiation, cross-functional collaboration and integrity in complex deals.

Responsibilities

• Lead legal support for EPC and development tenders, including RFPs, contract reviews, uncertainties, risk registers and bid approvals.
• Draft, review and negotiate EPC, EP, construction, turnkey, supply and O&M contracts for power, water, renewables and infrastructure.
• Advise on risk allocation, guarantees, liquidated damages, liability, indemnities and insurances.
• Negotiate subcontracts, supply, JV and teaming agreements aligned with main contracts.
• Support contract administration, including notices, variations, EOT, delays, payments and close-out.
• Review bonds and parent guarantees; provide defences and calls.
• Advise on contractual risk mitigation and commercial negotiations.
• Support development and investment in renewables, power, water and infra from origination to close.
• Draft and negotiate joint development, JV, shareholders’, consortium, cooperation and MoU agreements.
• Advise on PPAs, land, leases, grid connection and government support agreements.
• Assist with project structuring, acquisitions, due diligence and corporate transactions.
• Identify legal risks and prepare investment committee inputs.
• Support project financing and negotiate financing and security documents with finance teams and external counsel.
• Review loan/direct agreements, equity contributions, sponsor support and security packages.
• Assist lender due diligence and conditions precedent.
• Advise on bankability and alignment of project, EPC and financing agreements.
• Advise on construction claims, disputes, arbitration and litigation.
• Support notices and EOT, variation, delay and disruption claims.
• Assess claims, counterclaims and exposure; recommend resolutions.
• Lead negotiations, settlements and dispute avoidance.
• Coordinate external counsel and experts; recover outstanding payments.
• Advise on Saudi and international laws covering procurement and regulatory compliance.
• Prepare corporate approvals and board resolutions.
