Tiqmo in Saudi Arabia seeks a responsible, bilingual Legal Counsel and Board of Directors Secretary to provide strategic legal advice and support the Company while managing governance and secretarial requirements.

Qualifications

  • Bachelor’s degree in Law or preferably LLM.
  • 4–5 years of relevant legal experience.
  • Fluency in both Arabic and English, with strong drafting skills.
  • Strong knowledge of corporate, commercial, contractual and governance matters.
  • Experience in financial services or regulated environments is preferred.

Responsibilities

  • Provide strategic legal advice on regulatory compliance, governance, contract interpretation, and risk management.
  • Review, draft, and negotiate agreements and other legal documents to protect Tiqmo’s interests.
  • Identify legal risks and provide mitigation measures.

Job description

We are looking to hire a responsible, reliable, and bilingual Legal Counsel and Board of Directors Secretary to provide strategic legal advice and support to the Company while also managing the governance and secretarial requirements of the Board of Directors. The role supports the Company on legal matters, with emphasis on regulatory compliance, contract negotiation, risk management, and corporate governance within the financial industry, while ensuring that Board meetings, records, resolutions, disclosures, and governance documentation are properly managed in accordance with applicable laws, regulatory requirements, internal policies, and Board-approved governance framework.

Primary Duties and Key Responsibilities

1- Legal Advisory and Support:

  • Provide practical legal advice and support to management and business functions on regulatory compliance, corporate governance, contract interpretation, and risk management.
  • Review, draft, and negotiate agreements, contracts, legal correspondence, licensing agreements, technology agreements, vendor agreements and other legal documents to protect Tiqmo’s interests.
  • Identify legal risks arising from business activities and provide appropriate recommendations and mitigation measures.
  • Support the interpretation and implementation of applicable laws, regulations, internal policies, and legal requirements.
  • Coordinate with external legal counsel and relevant stakeholders when specialized legal support is required.
  • Maintain organized and accurate legal records, contracts, corporate documents, and related correspondence.
  • Conduct legal research and analysis on complex legal issues, providing clear and practical advice to support informed decision-making.
  • Train and educate employees on legal and compliance matters, promoting a culture of ethics and compliance throughout the organization.
  • Collaborate with cross-functional teams to assess and mitigate legal risks associated with new products, services, and business initiatives.
  • Manage relationships with external legal counsel and other professional advisors, as needed, to support the company's legal needs.
  • Assist with special projects and initiatives as assigned by senior management or the Chief Legal Advisor.

2- Board Meeting Administration and Minutes:

  • Coordinate Board meeting schedules and ensure Board members are informed sufficiently in advance to enable proper preparation and attendance.
  • Prepare and coordinate the meeting agenda, working papers, supporting documents, and relevant information for circulation to Board members in advance.
  • Prepare comprehensive minutes for each Board meeting, including the place, date, commencement and adjournment time, attending and absent members, external and internal attendees and their capacities, key discussions and deliberations, decisions, voting results, reservations expressed by members, and the reasons thereof.
  • Circulate draft Board minutes to members for review and comments prior to finalization and signature.
  • Ensure finalized minutes are approved and signed in accordance with applicable laws, the Articles of Association and the Board Charter and maintained in a special, organized and secure register.

3- Board Records and Information Management:

  • Retain and archive all reports submitted to the Board and reports prepared or issued by the Board in accordance with applicable laws and internal policies.
  • Ensure Board members have timely and appropriate access to copies of Board minutes and relevant Company information and documents, subject to applicable confidentiality and regulatory requirements.
  • Maintain complete, accurate, secure, and up-to-date Board and governance records.

4- Board Governance and Compliance:

  • Support compliance by Board members with procedures, charters, and governance frameworks approved by the Board from time to time.
  • Maintain and administer the disclosure register for Board members and executive management in accordance with applicable governance and regulatory requirements.
  • Support the implementation of applicable governance requirements and coordinate required governance documentation and records.

5- Board Resolutions and Follow-up:

  • Maintain the formal mechanism approved by the Board to monitor and follow up on the implementation of Board recommendations and resolutions.
  • Coordinate with relevant management and business functions to track actions arising from Board decisions.
  • Prepare periodic status updates and reports to the Board on the implementation of recommendations and resolutions.

6- Stakeholder Coordination and Other Responsibilities:

  • Coordinate with the Chairman, Board members, executive management, internal functions, auditors, advisors, and other relevant stakeholders on Board and legal matters.
  • Maintain strict confidentiality in relation to Board, legal, corporate, and commercially sensitive information.
  • Perform any other duties or responsibilities assigned by the Chairman of the Board from time to time within the scope of the Board Secretary function and applicable governance requirements.
  • Perform any other legal responsibilities assigned by management within the scope of the role.
Requirements and Qualifications
  • Bachelor’s degree in Law or preferably LLM.
  • At least 4–5 years of relevant legal experience.
  • Fluency in both Arabic and English, with strong legal drafting and communication skills in both languages.
  • Strong knowledge of corporate, commercial, contractual, and governance matters.
  • Understanding of Board governance, meeting administration, corporate records, and regulatory requirements.
  • Experience within financial services, fintech, banking, payments, or another regulated environment is preferred.
  • Strong knowledge of Saudi Companies Law, SAMA Payment Laws and labour laws.
  • Demonstrated expertise in contract law, negotiation, and drafting of legal documents and agreements.
  • Excellent analytical, problem-solving, and decision-making skills, with the ability to assess complex legal issues and provide practical solutions.
  • Exceptional written and verbal communication skills, with the ability to communicate effectively with internal and external stakeholders at all levels of the organization.
  • Proven ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
  • High level of integrity, professionalism, and discretion in handling confidential and sensitive information.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal research tools/software.
  • Strong interpersonal skills and the ability to build positive relationships with colleagues and external partners.
