Legal Counsels (APJ&MEA) are responsible for a broad spectrum of legal matters within the APJMEA business. Legal Counsel will collaborate with stakeholders to ensure the success of business processes and provide counsel regarding contract terms and compliance with applicable laws, regulations, and company policies.
He/she will report to the Head of Legal APJMEA and will work with business teams across time zones in the APJMEA region, especially with IFS Middle East in Dubai, although the role is based in Riyadh. IFS expects staff to work in the office at least 3 days a week.
Principal Accountabilities:
- Provide timely, pragmatic legal and commercial advice to all functions.
- Explain and bridge Western systems of law and culture with Saudi systems of law and culture.
- Maintain current knowledge of, and support compliance with, applicable laws and regulations.
- Draft, review, and negotiate a range of commercial contracts including software licenses, software consulting contracts, project implementation service contracts, SaaS, teaming agreements, prime and subcontractor agreements, RFQ, RFP, value-added reseller, and sales channel partner agreements, and NDAs.
- Actively negotiate and draft contract terms, primarily for software licenses, support & maintenance, and partner agreements, typically supporting quarterly sales cycles.
- Respond promptly and pragmatically to assist sales teams in closing deals.
- Review and approve variations to standard contracts within an approved approval matrix and legal policy framework.
- Assist in reviewing and assessing current processes, structures, and procedures for efficient legal compliance, supporting projects to streamline legal processes and documentation.
- Help develop, maintain, and update legal systems and records, primarily through the Contract Lifecycle Management (CLM) system.
- Establish good working relationships with Corporate General Counsel, other regional legal counsel, and all business units, especially Sales functions.
- Liaise with external counsel and relevant authorities.
Qualifications, Experience & Skills:
- 3-5 years PQE as an in-house or transactional attorney with a reputable firm, with relevant experience in IT/Software commercial contracts, especially software licensing.
- Admitted to practice law in Saudi Arabia, UAE, England & Wales, or US jurisdictions.
- Saudi national or rights to work and reside in Saudi Arabia.
- Law degree from a recognized university.
- Ability to quickly analyze problems and offer practical advice.
- Strong attention to detail.
- High-level legal drafting, negotiation skills, and excellent communication skills.
- Fluent in both Arabic and English, articulate and clear.
- Effective team player and independent worker, capable of managing multiple tasks efficiently.
- Proficient in Microsoft Office; curious about AI innovations.
- Ability to provide clear, accurate advice to senior leaders and work across time zones, willing to travel when necessary.
