Job Summary
The Governance Manager is responsible for facilitating appropriate governance frameworks and systems for the assigned projects, entities and initiatives, in compliance with any applicable leading practices in the corporate governance and / or any regulatory requirements. The position is also responsible for providing support in monitoring compliance with corporate governance.
Job Responsibilities
- Administrative Responsibilities:
- Provide the support in the execution of initiatives and plans in the achievement of defined goals for concerned team members.
- Facilitate the execution of day‑to‑day activities and operations for concerned team members and support them as appropriate.
- Support the implementation of all policies and procedures within team members, and recommend potential improvements where appropriate.
- Functional Responsibilities:
- Conduct first‑review and validate governance frameworks and systems (including charters, protocols, reporting requirements, internal controls and policies) relating to assigned projects, entities and initiatives.
- Support in the implementation of governance frameworks and systems, and identify any risks / issues that are facing implementation and recommend solutions accordingly.
- Facilitate in monitoring compliance to corporate governance and address any breaches, in accordance with authority delegations from the board of directors, alongside the executive management team of assigned entities, projects and initiatives.
- Ensure the administration of effective systems for internal controls and regulatory compliance, ensuring that entities, projects and initiatives are compliant and remain in good legal standing.
- Conduct the first evaluation and cater for the impact of emerging regulatory requirements on the governance frameworks and systems, in consultation with colleagues in the Governance Department.
- Support the line manager in research leading practices and principles relating to corporate governance, and champion their adoption across corporate governance deliverables for assigned entities, projects and initiatives.
Job Requirements
- Bachelor’s degree in a relevant Social Sciences field, with preference for Business Administration, Corporate Governance, or equivalent, with a minimum of 8 years of related experience.
- Master’s degree in a relevant Social Sciences field, with preference for Business Administration, Corporate Governance or related discipline is preferred.
- Professional Certifications (ICSA, CIPFA, etc…) is preferred.
Proficiency in English and Arabic Language (required).
