Job Summary:
The Corporate Governance Manager is responsible for making sure that robust and proportionate corporate governance framework and processes are implemented and adhered to. The position will be responsible for the development and implementation of a framework of rules and practices by which all Boards of Directors of companies under the Group to ensure accountability, fairness, and transparency in relationship with all stakeholders. The framework includes distribution of rights, responsibilities and rewards, and procedures for reconciling conflicting interests, proper supervision, control, and information flow. Stakeholders may include shareholders, Board of directors, management, employees, and the community. All activities of the Corporate Governance Manager are under a direct supervision of the Corporate Governance Director.
Job Responsibilities
- Governance framework and monitoring compliance with requirements in framework
- Preparation of the meetings (invitation, working schedule of directors, communication with Directors and Board secretaries)
- Gathering materials and review presentations prepared by employees
- Prepare slides on Corporate Governance specific subjects
- Draft resolutions with guidance of the Corporate Governance Director
- Collecting and distribution of miscellaneous materials requested by Board Directors
- Review draft MoM and prepare own minutes as appropriate
- Follow-up of Board actions and resolution implementation
- Maintain archives of Board materials.
- Monitor internal and external communication with Board of Directors, Secretary ensuring consistency, timeliness and efficiency of information exchange (emails, papers, calls)
- Participate in the development of the Corporate Governance policies and procedures in line with the Risk Registers, and the Company's strategy and direction (Board of Directors Charter, Corporate Governance Procedure etc.)
- Provide key information to managers, board members and employees
Additional Responsibilities
- Interact with all levels of management and be able to document existing processes, manage and analyse data, and recommend enhanced business processes
- Identify opportunities to improve work processes, enhance quality of service and productivity, and communicate opportunities to management.
Job Knowledge & Skills
- Fluent in English
- Excellent communication skills, written and verbal
- Skill in preparing reports, minutes and memoranda which address complex and sometimes sensitive matters in a comprehensive, articulate and convincing manner
- Strong ability to identify, gather and analyse information into meaningful reports and documents
- Ability to analyse data and recommend course of action and/or documents
- Demonstrated ability to use available resources, establish efficient procedures and follow multiple tasks through to completion
- Must be able to meet deadlines while working under much pressure
- Ability to handle confidential material and information in a discrete manner
Job Experience
- Oil & gas or construction industry experience is preferable
- 3-5 years in a relevant position in Corporate Governance, JV management, project management teams; GCC experience is a plus
Education
Bachelor's degree
