Job summary

R.Power is seeking a Senior M&A Associate in Warsaw to support end-to-end transaction processes across the renewable energy sector. The role involves leading financial modelling, preparing information memoranda, and coordinating due diligence with cross-functional teams.

You will engage with external advisors and contribute to negotiations on term sheets and SPAs. Hybrid work and a comprehensive benefits package are offered.

Qualifications

• Minimum 4 years of experience in M&A (investment banking, financial advisory, M&A boutique, investment fund, renewable energy developer, or IPP).
• Strong financial modelling skills–ability to build and audit financial models independently, with advanced proficiency in Excel.
• Experience in renewable energy or infrastructure sector is a plus.
• Understanding of development risks is advantageous.
• Driven, ambitious, and goal-oriented.
• Fluency in English and Polish.

Responsibilities

• Support M&A processes throughout the entire transaction lifecycle (sell-side, JVs, buy-side), with the goal of becoming able to independently lead full transaction processes
• Prepare term sheets, teasers, and information memoranda
• Coordinate due diligence processes in collaboration with cross-functional teams (legal, technical, commercial)
• Lead financial modelling activities during transaction processes
• Prepare ongoing financial analyses and materials required for transaction execution
• Support the management of external advisors, including legal, technical, and financial advisory firms
• Support senior team members during the negotiation and mark-up of transaction documents (term sheets, SPAs, shareholder agreements)
