KALE Recruitment is supporting a client in Poland seeking an experienced M&A Expert for due diligence, negotiation and investment support in the renewables sector. Responsibilities

  • Lead and support buy-side and sell-side M&A processes involving renewable energy assets and portfolios.
  • Identify, screen and assess potential investment opportunities for institutional and strategic investors.
  • Manage transaction processes from initial opportunity assessment through due diligence, valuation, negotiation and closing.
  • Prepare investment memoranda, transaction teasers, information requests, process materials and management presentations.
  • Coordinate multidisciplinary due diligence workstreams, including commercial, technical, financial, legal, regulatory and tax due diligence.
  • Support clients in developing transaction strategies, acquisition structures and negotiation positions.
  • Analyse transaction documentation and identify key commercial, financial and operational considerations.
  • Coordinate with external advisers and transaction counterparties throughout the M&A process.
  • Evaluate renewable energy projects and portfolios, with emphasis on utility-scale battery storage projects.
  • Assess project fundamentals including development status, permitting, grid connection, land rights, technology, EPC/O&M arrangements and project contracts.
  • Analyse BESS-specific investment considerations, including battery technology, system sizing, revenue stacking, and market dynamics.
  • Review and challenge financial models and project assumptions.
  • Develop and assess project and portfolio valuation analyses, including DCF and comparables.
  • Translate complex financial information into investment recommendations.

Our client is an energy trading and advisory consultancy working in the renewable energy sector. For their team, we are now looking for an M&A Expert to support project DD and M&A negotiations as well as support investment entry and project development in the Polish market.

Our client is a specialist advisory firm supporting investors, developers, infrastructure funds, private equity firms, utilities and other stakeholders across the renewable energy and energy storage sector.

About the Role

We are looking for an experienced M&A Specialist with a strong understanding of renewable energy projects and, in particular, utility-scale battery energy storage systems (BESS). The successful candidate will support clients throughout the investment lifecycle, from opportunity identification and initial screening through due diligence, transaction structuring, valuation, negotiations and closing.

This is a commercially focused role for someone who can combine M&A execution expertise with a strong understanding of renewable energy and energy storage markets. The position will involve working closely with investment teams, developers, technical advisers, lenders, legal counsel and other transaction stakeholders.

Key Responsibilities
  • M&A and Transaction Advisory

  • Co-location with renewable generation
  • Assess the commercial maturity, risks and value drivers of projects at development, construction and operational stages.
  • Monitor market developments, transactions, valuations and emerging investment opportunities across renewable energy and storage.
  • Review and challenge financial models and project assumptions.
  • Develop and assess project and portfolio valuation analyses, including DCF, comparable transactions and market-based approaches.
  • Analyse project returns, cash flows, leverage, sensitivities and downside cases.
  • Assess key value drivers and investment risks across different project structures and market scenarios.
  • Support investment committees and clients with clear, commercially relevant analysis and recommendations.
  • Translate complex technical and financial information into concise conclusions for investment decision-makers.
Required Experience & Qualifications
  • 4+ years of relevant experience in M&A, investment banking, private equity, infrastructure investment, transaction advisory, corporate development or a comparable role.
  • Demonstrable experience in the renewable energy sector, preferably including energy storage.
  • Strong understanding of utility-scale BESS projects and their commercial and investment characteristics.
  • Experience executing or supporting M&A transactions, investments, project acquisitions or portfolio transactions.
  • Strong financial modelling and valuation skills.
  • Ability to understand and critically assess project financial models and investment assumptions.
  • Experience working with multidisciplinary transaction teams and external advisers.
  • Strong analytical and problem-solving capabilities.
  • Excellent written and verbal communication skills.
  • Ability to present complex investment considerations clearly to senior stakeholders.
  • Strong project management skills and the ability to manage multiple transaction workstreams under tight deadlines.
  • Degree in Finance, Economics, Engineering, Business, Energy or a related discipline.
Preferred Experience
The following would be advantageous:
  • Direct experience with BESS M&A or investment transactions.
  • Experience with renewable energy portfolios combining solar, wind and battery storage.
  • Understanding of electricity markets, ancillary services, capacity markets and energy trading.
  • Experience assessing merchant and contracted revenue structures.
  • Experience working with infrastructure funds, private equity investors, utilities or institutional investors.
  • Experience in project finance, including debt structuring and lender due diligence.
  • Familiarity with renewable energy markets across [Europe / UK / US / other target markets].
  • Experience managing external technical, legal and commercial advisers.
  • Fluency in additional European languages.
