Job summary

Teramind Inc. is seeking a proactive Law Clerk or Paralegal to support the General Counsel in reviewing, drafting, and managing enterprise contracts across North America, EMEA, and APAC.

You will own contract throughput, organize the repository, and coordinate with Sales, Finance, and HR to ensure timely responses and compliance with data privacy requirements. This high-visibility role requires strong written and verbal communication, excellent organization, and experience with SaaS agreements

Qualifications

• Paralegal certificate, law degree, or JD (non-practicing or pre-bar).
• 2-5 years of experience in legal, law firm, or in-house corporate legal environment.
• Strong knowledge of commercial contract structures and SaaS terms.
• Experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor agreements.
• Exceptional written and verbal communication; ability to translate legal concepts for non-legal audiences.
• Highly organized with strong attention to detail and ability to multitask.
• Proficiency with contract management tools, document management systems, and MS Office/Google Workspace.

Responsibilities

• Review, draft, and redline commercial agreements including MSAs, SOWs, NDAs, vendor contracts, and SaaS subscriptions.
• Support contract pipeline: tracking status, deadlines, and open items.
• Initial review of incoming customer/vendor contracts and flag non-standard terms.
• Maintain contract repository and version control; ensure accessibility.
• Coordinate with outside counsel: documents, communications, and billing.
• Assist with fraud inquiries, subpoenas, regulatory requests, and government correspondence.
• Assist with employment-related documentation with HR.
