A leading Employer of Record company in the Philippines is seeking a Senior Commercial Counsel. This role involves drafting, negotiating, and closing commercial agreements that directly impact revenue and operations across the U.S., Mexico, and the Philippines. A Philippine Bar-qualified attorney with 7+ years of experience in transactional law is preferred. The position requires strong communication skills and the ability to work independently during night shifts to align with U.S. business hours.

Qualifications

• 7+ years of experience in commercial / transactional law.
• Deep expertise in contract drafting and negotiation.
• Comfortable working independently, with a willingness to work night shifts.
• Strong English written and verbal communication skills.
• Comfortable working independently with minimal oversight.
• Willing to work night shift PHT to align with U.S. business hours.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements.
• Support IP-related matters including licensing and ownership provisions.
• Identify legal risks in commercial transactions and propose solutions.
• Identify legal risks in commercial transactions and propose practical, business-forward solutions.
• Build, maintain, and improve contract templates, clause libraries, and negotiation playbooks.
• Partner with executive leadership, sales, operations, and finance to support deal velocity.
• Coordinate with U.S. outside counsel for jurisdiction-specific matters as required.
• Track contract status, obligations, and renewal terms.
• Support special projects and strategic initiatives as needed.

Position Overview

RecruitGo is seeking a senior transactional / Commercial Counsel to own and execute the majority of day-to-day commercial and contractual legal work. This role is designed for a highly capable, Philippine-qualified attorney who can operate independently, partner closely with U.S.-based leadership, and move quickly in a high-growth, operationally intense environment.

This is not a policy-only or advisory role. You will draft, negotiate, redline, and close contracts that directly impact revenue, vendors, partners, and operations across the U.S., Mexico, and the Philippines.

Responsibilities:

• Draft, review, and negotiate a wide range of commercial agreements, including MSAs, SOWs, SLAs, SaaS/license agreements, partner/reseller contracts, NDAs, and vendor/technology contracts.
• Support IP-related matters including licensing, ownership provisions, and commercial IP protection (non-patent)
• Advise on EOR / EOR-style employment and contractor frameworks, particularly for international operations
• Identify legal risks in commercial transactions and propose practical, business-forward solutions
• Build, maintain, and improve contract templates, clause libraries, and negotiation playbooks
• Partner with executive leadership, sales, operations, and finance to support deal velocity
• Coordinate with U.S. outside counsel for jurisdiction-specific matters as required
• Track contract status, obligations, and renewal terms
• Support special projects and strategic initiatives as needed

Requirements:

• Philippine Bar-qualified attorney
• 7+ years of experience in commercial / transactional law
