Job summary

Greenhouse Software looks for a Commercial Counsel to own day-to-day commercial contract negotiations for a high volume of SaaS deals. You’ll balance speed with risk, collaborating with Sales and Deal Desk and guiding internal teams on contract terms and privacy considerations.

You’ll partner with Sales, handle MSAs, DPAs, SLAs, and data privacy, and help scale contracting milestones and playbooks, including AI-powered tools, while enabling reps with practical guidance.

Qualifications

• JD from accredited law school and active U.S. bar membership.
• 3–5 years of legal experience, with at least 2 years in commercial/transactional work (in-house SaaS preferred).
• Experience with B2B SaaS agreements incl. MSAs, DPAs, SLAs, and data processing agreements.
• Ability to manage a high volume of concurrent contract negotiations with attention to detail.
• Willingness to adopt AI-powered contract review and workflow tools.

Responsibilities

• Draft and negotiate customer-facing SaaS agreements (MSAs, order forms, DPAs, SLAs).
• Support end-to-end negotiations balancing customer needs with risk and compliance.
• Partner with Sales and Deal Desk as primary legal contact for mid-market and enterprise deals.
• Manage data privacy and security aspects of deals, including DPA negotiations.
• Build scalable contracting processes, templates, and playbooks (AI tools).
• Provide training materials and self-service guidance to sales reps.
