Private Advertiser is recruiting a Corporate Legal Counsel to provide expert legal advice and ensure regulatory compliance across the organization. The role covers contract drafting and review, litigation handling, legal research, and advising internal stakeholders on legal risks and obligations.

The candidate will collaborate with internal departments to align operations with applicable laws and best practices, while overseeing the contract lifecycle and maintaining rigorous records.

Qualifications

Must hold a valid Juris Doctor or equivalent law degree.
Bar passage required to practice law in the Philippines.
Minimum 3 years in corporate law or in-house/corporate law firm.
Experience in healthcare industry is a plus.
Strong knowledge of contracts, IP, employment law and regulatory compliance.

Responsibilities

Provide legal guidance to senior management and business units on contracts, compliance and risk.
Anticipate legal issues, assess risks, and advise on mitigation strategies.
Draft, review, and negotiate contracts and legal documents.
Coordinate with external counsel for litigation and disputes.

About the Role

The Corporate Legal Counsel will provide expert legal advice and support to the company, ensuring compliance with laws and regulations and protecting the organization’s interests. This role involves drafting and reviewing contracts, handling litigation, legal research, compliance matters, and advising internal stakeholders on legal risks and obligations. The Corporate Legal Counsel will work closely with internal departments to manage legal risks and ensure that business operations align with relevant laws and best practices.

Responsibilities

Provide legal guidance to Senior Management and business units on matters of contracts, compliance, labor laws, intellectual property, corporate governance, and risk management.
Anticipate and proactively assess potential legal issues, estimating risks, and providing strategic advice to mitigate risks.
Draft, review, and negotiate contracts, agreements, and legal documents to minimize risks and ensure favorable terms for the company.
Liaise with principals, suppliers, and other relevant parties to review and assess contract provisions, ensuring compliance with legal standards and Company policies.
Monitor and resolve contract-related concerns and ensure that issues are addressed promptly and effectively to protect the Company’s interests.
Oversee the entire contract life cycle and ensure all contractual obligations are met.
Monitor and develop the contract management system to streamline contract workflows, improve efficiency, and maintain an organized record of all contract-related activities.
Maintain accurate and up-to-date records of all correspondence and documentation related to existing contracts.
Ensure the company adheres to relevant laws, regulations, and industry standards, including labor laws, data privacy, and intellectual property laws.
Monitor and manage the potential impact of external legal, regulatory, and compliance developments on the Company’s operations.
Oversee litigation, disputes, and claims, coordinating with external legal counsel and ensure that the Company’s interests are represented effectively.

Job Qualifications

Juris Doctor or Bachelors Degree in Law, Business Administration, or any related field.
Bar Passer
At least 3 years of experience in corporate law, with a background in a corporate legal department or law firm.
Experience in any healthcare industry is a plus
Strong knowledge of corporate law, contracts, intellectual property, employment law, and regulatory compliance.
Experience in managing litigation and disputes, either directly or through external counsel.
