• Extensive experience in banking or financial services governance.
• Proven track record in senior leadership, board, or regulatory roles.
• Deep knowledge of Philippine banking regulations and governance.

Responsibilities

• Contribute to formulation and oversight of strategic direction and long-term objectives.
• Provide independent judgement on governance, risk, compliance, and regulatory matters.
• Review and oversee corporate governance frameworks and internal controls.
• Ensure adherence to banking regulations and governance requirements.
• Assess management execution of approved strategies.
• Review financial performance and risk exposures to inform decisions.
• Participate in Board and Committee meetings with an independent perspective.
• Promote culture of integrity and ethical conduct.
• Engage with regulators, auditors, and key stakeholders.
• Safeguard shareholders' interests balancing needs of stakeholders.
