Job summary

Gratitude Philippines is seeking an Acquisitions Legal Counsel Associate Manager to support M&A transactions, strategic investments, and due diligence across geographies. You will review and draft transaction documents, assess risks, and provide legal guidance through the full lifecycle of deals.

The role requires extensive M&A experience, strong contract drafting and corporate-law knowledge, and the ability to collaborate with global teams.

Qualifications

Minimum 8 years of experience in law firms or in-house counsel.
Demonstrated M&A practice including due diligence and transactions.
Experience in general corporate law, commercial contracting, and transactional support.
Ability to draft and review complex legal documents to a professional standard.
Strong collaboration skills across cultures, locations, and global teams.

Responsibilities

Provide legal support for M&A and strategic investments, including due diligence and risk mitigation.
Review, draft, and support negotiation of M&A documents, commercial agreements, and related legal documentation.
Collaborate with deal attorneys and cross-functional teams to review target data room materials and agreements.
Advise on contract and subcontract compliance, legal issues, and resolution of contractual risks.
Train teammates and improve processes for pre- and post-acquisition legal support.
