We are hiring an M&A Acquisitions Counsel Manager for M&A Transactions for a Global Tech Company in Mandaluyong. The team assists in the legal aspects of mergers, acquisitions, divestitures, and strategic investment transactions including due diligence, drafting, reviewing, and negotiating acquisition documents. • - Requires analysis and solving of moderately complex problems, typically creating new solutions while leveraging and adapting existing methods and procedures

Scope:

Key Responsibilities:

• - Provide legal support to M&A and strategic investment transactions, including legal due diligence, identifying risks and mitigation plans, supporting the M&A deal attorney in negotiations and review of transactional documents
• - Support key M&A stakeholders including M&A deal attorney, Procurement Plus V&A, Contracting, Legal Integration teams, and other Legal teams in different geographies
• - Document, review, and draft terms and conditions of different types of agreements and other documents relating to target/acquired companies in accordance with company policies, applicable laws, and stakeholder requirements
• - Collaborate with M&A deal attorney, Legal Integration Managers, and Procurement Plus V&A Leads on review of data room materials, particularly executed client, alliance, and supplier agreements of target companies
• - Train team members and develop checklists and process documents for pre- and post-acquisition legal support
• - Directly liaise with internal stakeholders and deal teams on various legal and commercial issues
• - Maintain contract/subcontract compliance in line with company policies and ensure issues are resolved
• - Work at smaller engagements and/or within a team at large, complex engagements

Qualifications:

Education: Bachelor's degree in Law

Knowledge and Skill Requirements:

• - Minimum 8 years experience at law firm and/or as in-house counsel and experience coordinating teamwork or as individual contributor
• - Experience in M&A practice with strong knowledge of M&A transactions, due diligence exercises, general corporate business practices, commercial contracting regulations, subcontracting practices, and ability to apply skills creatively to diverse stakeholder needs
• - Ability to consistently undertake contract drafting to a reasonable standard
• - Strong time-management, prioritization, organizational, and problem-solving skills
• - High level of responsiveness and follows through on commitments
• - Detail-oriented, sound judgement, organized, and flexible
