Job summary

Gratitude Philippines is seeking a Contracting Counsel Associate Manager to review, draft, negotiate, and support the execution of commercial and technology contracts in a fast-paced corporate environment. The role will handle MSAs, outsourcing agreements, SOWs, SLAs, licensing, SaaS, data transfer, cloud, and systems integration.

Qualifications

• Must be practicing law in the Philippines.
• Minimum 4 years of relevant experience in digital, consulting, systems integration, and/or outsourcing environments.
• Experience in a law firm or fast-paced corporate legal/transaction group is preferred.
• Minimum 2 years of experience negotiating Intellectual Property and Data Privacy issues.
• Demonstrated experience in drafting and negotiating technology-based agreements.
• Ability to manage a high volume of transactions independently.
• Strong understanding of contracting and risk issues related to digital, consulting, systems integration, and outsourcing transactions.
• Excellent English and Filipino oral and written communication skills.

Responsibilities

• Review, draft, negotiate, and close commercial and technology contracts, including MSAs, outsourcing, SOWs, SLAs.
• Provide legal and commercial advice on contracting risks, IP, data privacy, technology transactions, and business requirements.
• Work with senior legal professionals and internal stakeholders to develop negotiation strategies, evaluate risks, and provide practical solutions.
• Stay updated on legal, business, industry, and technology developments relevant to contracting and transactional activities.
• Contribute to legal guidelines, contracting toolkits, knowledge resources, and other Legal Group initiatives.
