Coins in the Philippines is seeking an experienced corporate counsel to provide clear guidance on governance, licensing, and regulatory compliance. You will manage corporate records, handle filings with BSP/SEC/BIR, and coordinate with external counsel across jurisdictions.

The role requires a keen eye for risk and deadlines, strong English communication, and the ability to work in a fast-paced, regulated environment within a growing crypto business.

Qualifications

• Post-qualification experience in general corporate law
• Experience with regulatory compliance in the Philippines
• Fluency in English with outstanding writing and communication skills

Responsibilities

• Provide clear and actionable counsel to the business on corporate governance, corporate housekeeping, and licensing
• Maintain corporate records across all group entities, including bylaws, stock books and minutes
• Prepare and file corporate and regulatory submissions with SEC, BSP, BIR and LGUs
• Drive licensing efforts end-to-end across regulated entities before BSP, SEC and regulators
• Draft, review, and negotiate commercial contracts such as vendor contracts and investment agreements
• Attend case conferences and hearings with courts and government agencies
• Collaborate with external counsel and corporate secretarial providers across jurisdictions
• Manage deadlines and risk of non-compliance across multiple entities
