The role requires 1–5 years post‑qualification experience in corporate law and regulatory compliance in the Philippines, with fluent English and strong writing

Qualifications

• 1 to 5 years of post‑qualification experience in general corporate law
• Experience in corporate secretarial practice and regulatory compliance in the Philippines
• Familiarity with BSP, SEC, BIR, AMLC and LGUs will be essential
• Meticulous attention to detail, with ability to manage documents and deadlines
• Excellent judgment, analytical rigor, clear communication, and business pragmatism

Responsibilities

• Provide clear counsel on corporate governance, corporate housekeeping, and licensing across all entities in the group.
• Maintain and keep current corporate records, including articles of incorporation, by-laws, stock books, minutes, and resolutions.
• Prepare and file corporate and regulatory submissions with SEC, BSP, BIR, LGUs and other agencies.
• Drive licensing efforts end to end across regulated entities, including applications, variations, renewals, and regulator queries.
• Manage approvals and documentation for group transactions, including reorganizations and cross-border structuring.
• Track corporate and licensing deadlines and escalate non‑compliance risks early.
• Advise on legal risks in a compliant, risk‑tolerant environment and cross‑jurisdictional coordination.
• Draft, review, and negotiate commercial contracts with vendors and investors.
• Attend case conferences and hearings with courts and government agencies.
