Job summary

The Orange Company Inc. seeks a Corporate Lawyer with 2–3 years of post-admission experience to advise on corporate governance, draft and negotiate commercial agreements, and ensure SE C, BIR, and other regulators remain satisfied. The role covers data privacy, labor and commercial law compliance in the Philippines.

You will manage filings, liaise with external counsel and regulators, and support due diligence, restructurings, and potential M&A activities in a fast-paced environment.

Qualifications

• Requires 2–3 years of post-bar experience in corporate law.
• Strong knowledge of the Revised Corporation Code, Data Privacy Act, and Philippine labor laws.
• Experience drafting and negotiating commercial contracts; board resolutions; GIS/AFS filings.

Responsibilities

• Draft, review, and negotiate commercial contracts including NDAs.
• Prepare board resolutions, secretary's certificates, minutes; manage GIS/AFS filings.
• Monitor compliance with SEC, BIR, DOLE, NPC.
• Assist in due diligence, corporate restructuring, joint ventures, or M&A activities as needed.
• Advise on corporate risks, data privacy, and labor & commercial laws.
• Liaise with external counsel and government agencies for filings and permits.
