About the Opportunity
Our client, an emerging legal practice/Law firm in Oman, is looking to appoint a Senior Associate – Corporate / M&A as part of the strategic development of its Corporate & M&A practice.
The ideal candidate will have strong experience in Corporate / M&A transactions, with exposure to advising investment funds, private equity investors, institutional investors and investment companies on complex and cross-border transactions.

Key Responsibilities
General Corporate & M&A
- Advise clients on domestic and cross-border Corporate and M&A transactions.
- Lead and support acquisitions, disposals, investments and joint ventures.
- Draft, review and negotiate transaction documentation, including SPAs, SHAs and JV agreements.
- Conduct and manage legal due diligence.
- Advise investors and corporate clients on transaction structuring and execution.
- Support private equity, investment funds and institutional investors on investment transactions.
- Advise on corporate restructurings, shareholder arrangements and other corporate matters.
- Work closely with Partners and other members of the Corporate/Commercial team.
- Where relevant, support transactions involving energy, renewable energy and infrastructure.
Investment Funds
- Advise on private equity, venture capital, real estate, infrastructure and other alternative investment structures.
- Draft and negotiate fund documentation, including:
- Limited Partnership Agreements (LPAs)
- Private Placement / Offering Memoranda
- Subscription Agreements
- Investment Management Agreements
- Investment Advisory Agreements
- Management and Performance Fee arrangements
- Side letters
- Fund administration and custody agreements
- Joint venture and co-investment documentation
- Advise on fund governance, investor rights, conflicts of interest and fiduciary matters.
- Support fund launches, closings, capital calls, distributions, transfers and other lifecycle events.
- Advise on regulatory and compliance requirements applicable to investment funds and asset managers.
- Conduct legal and regulatory analysis relating to licensing, marketing and distribution of funds.
Candidate Requirements
- Common Law qualified lawyer.
- Approximately 8+ years PQE preferred; exceptional candidates outside this range may also be considered.
- Strong experience in Corporate / M&A, preferably gained within a reputable law firm.
- Demonstrable experience handling complex and cross-border transactions.
- Experience advising investment funds, private equity investors, institutional investors or investment companies would be highly advantageous.
- Strong drafting, negotiation and transaction management skills.
- Experience with M&A, investments, joint ventures, SPAs, SHAs and legal due diligence.
- GCC experience is preferred, particularly in Oman, UAE, Saudi Arabia or Qatar.
- Exposure to renewable energy is preferred, while infrastructure, power or other major projects would be an advantage.
- Candidates currently based in Oman or elsewhere in the GCC who are open to relocating to Oman will be considered.
